“BRANCHING OUT” CONTEST RULES

March 18, 2002

NO PURCHASE NECESSARY. A PURCHASE DOES NOT IMPROVE YOUR CHANCE OF WINNING.
VOID WHERE PROHIBITED.

1. Eligibility: Entrant must be a Channel One Network student between the ages
of 11 and 18, and a legal resident of the 48 contiguous United States and the
District of Columbia as of Sunday, March 17, 2002. Employees of Channel One
and Maverick Records ("Sponsors") and their respective parents, subsidiaries,
affiliates, advertising and promotion agencies and their family members and/or
those living in the same household are not eligible to enter.

2. Timing: Contest begins at 7:00 p.m. PST (10:00 p.m. EST) on Sunday, March
17, 2002 ends at 7:00 p.m. PST (10:00 p.m. EST) on April 7, 2002.

3. How to Enter: Enter by submitting either VHS format videotape of up to 120
seconds in length and a written essay of one page in length from a person or
group by answering the following question: "How has you school or community
made a difference in the world." Students may only enter and win once.
Your entry must be your own original creation and may be submitted in any of
the following category formats: All entries must include the following: a)
two letters of support from teachers or community members supporting the entrant’s
community involvement b) one letter of support from the Principal of the school
supporting application to have Michelle Branch perform at the school on April
29, 2002. Entries must satisfy the following requirements: Do not use any materials
owned or created by third parties, such as pre-existing video, or written copyrighted
material. Running time for video must not exceed 120 seconds. Written essays
must not exceed one 8.5 x11" page. Send your entry with the following
information or they will not be considered: entrant’s full name, age, school,
full address (street, city, state and zip code), e-mail address and phone number;
teacher’s/advisor’s name and home phone number; principal’s name and phone

4. Video tapes must be labeled with the following information: entrant’s name,
school name and phone number; advisor’s name and home phone number; principal’s
name and phone number. Entries that are improperly labeled will not be considered.
All entries must be postmarked by April 5, 2002. Multiple entries are not permitted.
More than one entry from any person will void all entries from that person.
Sponsors shall not be responsible for lost, late, mutilated or misdirected
entries. Entry forms, corrupted/damaged video tapes or requests that are illegible
or incomplete are not eligible. All entries become the sole property of Sponsors
and none will be returned.

5. Judging Criteria: All Entrants and selected winner must comply with all
terms and conditions set forth in these Official Rules. Winning is contingent
upon fulfilling all such requirements. The prize winner will be selected by
creativity, originality and adherence to the stated contest theme in equal
measure. The contest will take place under the supervision of Sponsors. Participants
agree to be bound by these rules and the decision of the judges, whose decisions
are final. Five (5) semi-finalists will be chosen by Channel One News on or
around April 15, 2002. The five (5) semi-finalists will then have their entries
judged based on creativity, originality and adherence to the stated contest
question in equal measure by Maverick recording artist Michelle Branch who
will select one (1) entry to be the winner on April 19, 2002. The winner and
his/her school will be notified by phone on or about April 19, 2002. Event
will take place on April 29, 2002. In the event the artist is not available,
Maverick Records will choose an alternate date and/or artist.

6. Prizes: Semi-Finalist Prizes: The following prizes will be awarded: Entry
deadline: 7:00 p.m. PST, April 7, 2002

Prize: Five (5) semi-finalists will receive twenty (20) Michelle Branch CD’s
and twenty (20) Michelle Branch T-shirts.

Approximate Retail Value: $50
Total Number of prizes: 5

Grand Prize: One (1) finalist and their school will receive a private performance/concert
("Event") at the winner’s school. Event to take place on Monday,
April 29, 2002. Time of Event to be determined by April 27, 2002. Channel One
News will tape a broadcast from the winning school on date of Event. Event
is subject to permission grants from school officials and school administration
where applicable. If school does not grant permission the prize will be awarded
to next semi-finalist and previous winner will become a semi-finalist.

7. Total Approximate Retail Value of All Prizes: $5,250.00. Sponsors are not
responsible for lost or mutilated prizes and none will be replaced. Prizes
are nontransferable and must be accepted as awarded. No cash or other substitution
may be made, except by the Sponsors in the event that the prize cannot be awarded
for any reason, in which case, Sponsors will award a prize of equal or greater
value. All taxes, fees and surcharges on prizes are the sole responsibility
of winner.

8. Other Terms and Conditions: Potential winners will be required to sign and
return an Affidavit of Eligibility, Liability Release, and where lawful a Publicity
Release, within five (5) days of notification, failing which the potential
winner will be disqualified and another winner selected in the place of the
disqualified person from the semi-finalist entries. If any prize or prize notification
is returned as non-deliverable, the potential winner will be disqualified and
another potential winner will be selected in the original winner’s place. By
accepting prizes, the winners agree that the Sponsors will have the right to
photograph the selected entrant. Entry constitutes permission to use the entrant’s
name, picture, likeness, school and city and state of residence for purposes
of trade, publicity or promotion for no additional compensation. All entries
must be original, must not have won previous awards and must not infringe on
any third party rights. Submission of entry constitutes consent of entrants
and their parents/legal guardians to irrevocably assign to the Sponsors all
rights in the entry, including but not limited to, intellectual property rights.
Submission of an entry grants Sponsors and their agents the right to publish,
produce, use, adapt, edit and/or modify the entry in any way and in any and
all media, without limitation and without compensation to the entrant, or their
parents/legal guardians. By submitting entries to the Contest, the entrant/sender
grants permission for the Sponsors to use his/her first name, age and state
of residence on ChannelOne.com and Channel One News broadcast. No personally
identifiable information from children under 13 will be posted online. Entries
with the following inappropriate content will not be considered: lewd, foul
or obscene language or depictions; the promotion or solicitation of illegal
activity; or speech that demeans or defames a person or group on the basis
of gender, race, ethnicity, religious affiliation or national origin. The selected
entrant and their parent/legal guardian will be required to execute an affidavit
of eligibility, compliance with Contest rules and release of liability/publicity.

9. All entrants release the Sponsors, their affiliates, parents, subsidiaries,
directors, officers, employees and agents, and all others associated with the
development and execution of this Contest from any and all liability for injury,
loss or damage of any kind resulting from participation in this Contest. Sponsors
decisions relating to all aspects of this contest are final.

10. Winners’ List: A complete list of winners will be available by sending
a stamped self-addressed envelope after May 6, 2002 to Channel One Michelle
Branch Contest, 1440 Broadway, 17th Floor, New York, New York 10018.

11. Sponsors: The Sponsors of this Contest are Maverick Records and Channel
One Network whose addresses are 9348 Civic Center Drive, Beverly Hills, CA
